Apicil acquired Coparc, while Primonial acquired W Finance, in a coordinated dual transaction with Allianz

The transaction involved the simultaneous carve-out and sale of two complementary businesses owned by Allianz: COPARC, a life insurance company, and W Finance, a leading independent wealth management and financial advisory network. The operation provided Allianz with a comprehensive and coordinated solution for the disposal of both assets through a single transaction process while ensuring strategic continuity for each business.

Strategic Impact

The transaction represented a defining milestone for both acquirers.

For APICIL, the acquisition of COPARC constituted the foundation of its long-term expansion strategy in life insurance and savings. The transaction significantly increased the Group’s assets under management and provided the platform upon which APICIL would subsequently build a leading position in the French savings and wealth management market through a series of acquisitions and strategic initiatives.

For Primonial, the acquisition of W Finance represented a major step in the development of its wealth management activities. The transaction strengthened its distribution capabilities, expanded its national footprint and accelerated the emergence of one of France’s leading independent wealth management groups.

Beyond the immediate benefits for each buyer, the transaction enabled both groups to complete their first truly transformational external growth operation and laid the foundations for the remarkable development trajectories they would pursue over the following decade.

A Unique Execution Challenge

The operation required the simultaneous management of two separate acquisitions involving different assets, different strategic rationales, different financing structures and two independent acquiring groups, while maintaining a coordinated dialogue with a single seller.

Stéphane Olmi structured and led the dual transaction process, successfully delivering a comprehensive solution to Allianz while coordinating two parallel acquisitions for APICIL and Primonial. The transaction required the alignment of multiple stakeholders and the synchronization of two independent negotiation and execution processes, ensuring certainty of execution for the seller and strategic success for both acquirers.

The transaction remains a distinctive example of Gimar’s ability to design innovative transaction structures, align complex stakeholder interests and execute transformational transactions involving multiple buyers and strategic objectives.
